These Terms of Service (“Terms”) govern your access to and use of the Trusys platform, websites, applications, APIs, documentation, software, tools, and related services (collectively, the “Services”) made available by Spydra Technologies Pvt Ltd (“Trusys,” “Company,” “we,” “us,” or “our”).
By accessing or using the Services, or by clicking to accept these Terms, you agree to be bound by these Terms. If you do not agree, do not access or use the Services.

2. Scope of Services
Trusys provides an AI assurance platform and related offerings designed to help users evaluate, monitor, secure, govern, and operate AI systems. The Services may include, without limitation, software modules, dashboards, APIs, documentation, hosted services, developer tools, workspaces, projects, user management, API keys, scheduled jobs, notifications, integrations, professional services, onboarding, managed testing, implementation support, training, consulting, and custom integrations.
The Services may be offered under names including, for example, TRU SCOUT, TRU EVAL, TRU PULSE, TRU GUARD, and any current or future Trusys-branded features, modules, or services.
3. Eligibility and Account Registration
You may use the Services if you can form a binding contract under applicable law. The Services may be used by individuals and organizations.
You may register directly through self-signup or access the Services through an invitation, enterprise engagement, trial, demo, or other access method made available by Trusys.
When you register for an account, you agree to provide accurate, current, and complete information and to keep that information updated. You are responsible for all activities that occur under your account, login credentials, tokens, and API keys, whether or not authorized by you.
If you create or administer a workspace, project, or organizational account, you represent and warrant that you have authority to act on behalf of that workspace, organization, or users associated with it.
4. Workspaces, Projects, and Access
The Services may allow creation of one or more workspaces, projects, environments, applications, configurations, datasets, and related resources. Unless otherwise specified in your plan or order form, a user may have one primary workspace, multiple projects, and may also be invited to other workspaces.
You are responsible for managing access rights within your workspace and projects, including invited users, collaborators, administrators, service accounts, and API keys. Trusys is not responsible for internal permission settings, user invitations, or access decisions made by workspace administrators or account owners.
5. Subscriptions, Trials, and Paid Services
Trusys may offer free tiers, free trials, paid subscriptions, usage-based pricing, enterprise contracts, annual commitments, credits, and other commercial arrangements.
If you purchase a paid plan, you agree to pay all fees, charges, taxes, and applicable surcharges associated with your use of the Services. Fees may be charged in advance, in arrears, based on usage, or according to your order form, pricing page, or enterprise agreement.
Unless otherwise stated in an applicable order form or plan, paid subscriptions automatically renew for successive renewal periods unless canceled before the renewal date.
Trusys may change pricing, packaging, features, usage thresholds, or billing structures upon prior notice. Continued use of the Services after the effective date of a pricing change constitutes acceptance of the updated pricing.
6. Refunds and Billing Errors
Except as required by applicable law or expressly stated in a separate written agreement, fees are generally non-cancelable for the applicable billing period.
Refunds are available only in the event of a verified billing error, duplicate charge, or other billing issue determined by Trusys in its reasonable discretion, unless a separate enterprise agreement provides otherwise. No prorated refunds are provided for mid-cycle cancellation of subscriptions unless required by law or expressly agreed in writing.
Enterprise contracts, order forms, and negotiated commercial agreements will govern to the extent they expressly address fees, refunds, or billing terms differently from these Terms.
7. License to Use the Services
Subject to your compliance with these Terms and payment of applicable fees, Trusys grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services during the term of your subscription or permitted access solely for your internal business purposes or personal lawful use, as applicable.
You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying ideas from the Services, except to the extent such restriction is prohibited by applicable law.
8. Acceptable Use
You agree not to use the Services to:
(a) violate any applicable law, regulation, rule, or third-party right;(b) engage in unlawful, fraudulent, deceptive, harmful, or abusive conduct;(c) distribute malware, malicious code, ransomware, spyware, or harmful content;(d) send spam or engage in unauthorized communications;(e) infringe, misappropriate, or violate intellectual property, privacy, publicity, confidentiality, or other rights;(f) interfere with, disrupt, or compromise the integrity, security, performance, or availability of the Services or any third-party systems;(g) circumvent access restrictions, security controls, usage limits, or account boundaries;(h) use the Services to test, scan, attack, probe, or assess any model, system, application, infrastructure, endpoint, or environment unless you own it or are expressly authorized to assess it;(i) upload or transmit content that is illegal, defamatory, harassing, hateful, obscene, or otherwise unlawful;(j) misuse logs, telemetry, prompts, datasets, models, or outputs in ways that violate law or third-party rights; or(k) use the Services in a manner that could expose Trusys, its users, or third parties to security, privacy, or compliance risks.
Trusys may monitor usage as necessary to protect the Services, enforce these Terms, comply with law, and improve the Services.
9. Customer Data
As between you and Trusys, you retain ownership of the data, content, materials, and information you submit to or process through the Services, including, as applicable, prompts, outputs, datasets, logs, telemetry, uploaded files, evaluation configurations, model responses, application metadata, API keys, and account information (“Customer Data”).
You grant Trusys a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, analyze, display, modify as technically necessary, and otherwise use Customer Data solely to provide, operate, maintain, support, secure, troubleshoot, improve, and make available the Services and related support or professional services.
You represent and warrant that you have all rights, permissions, and lawful bases necessary to provide Customer Data to Trusys and to permit its processing under these Terms.
10. Aggregated and Anonymized Data
Trusys may collect, generate, and use aggregated, anonymized, de-identified, and statistical data derived from use of the Services for analytics, benchmarking, security, service improvement, product development, operational insights, and business reporting, provided such data does not identify you or any individual as the source.
11. Sensitive Data and Compliance
The Services are not intended for the storage or processing of sensitive personal data, special category data, or regulated data unless expressly agreed by Trusys in writing, such as in a data processing addendum, enterprise agreement, or other written arrangement.
If you choose to upload or process sensitive, personal, regulated, or confidential data through the Services, you do so at your own discretion and risk, and you remain solely responsible for obtaining all necessary notices, consents, permissions, and lawful bases and for complying with all applicable privacy, data protection, security, and sector-specific laws.
12. Privacy
Your use of the Services is also subject to the Trusys Privacy Policy, if and when published. To the extent Trusys processes personal data on your behalf in connection with enterprise services, the parties may enter into a separate data processing addendum or similar agreement.
13. AI-Specific Disclosures
Trusys provides tools to evaluate, monitor, secure, govern, and operate AI systems, but Trusys does not guarantee that any AI system, application, model, workflow, output, dataset, or deployment will be error-free, secure, unbiased, compliant, lawful, available, accurate, or fit for any particular purpose.
You remain solely responsible for your AI systems, configurations, prompts, models, policies, datasets, outputs, deployments, decisions, actions, end-user communications, and compliance obligations. You are also responsible for reviewing and validating any outputs, recommendations, reports, assessments, or alerts generated by the Services before relying on them in business, legal, regulatory, operational, or customer-facing contexts.
The Services do not constitute legal advice, regulatory certification, security certification, audit opinion, or professional compliance advice.
14. Third-Party Services and Integrations
The Services may interoperate with third-party products, models, APIs, cloud providers, observability tools, CI/CD systems, repositories, communication services, storage services, voice providers, or other external services (“Third-Party Services”). Your use of Third-Party Services is governed by the terms and privacy policies of those third parties.
Trusys does not control and is not responsible for Third-Party Services, including their availability, security, pricing, performance, legality, outputs, or data-handling practices. Trusys is not liable for interruptions, failures, or inaccuracies caused by Third-Party Services.
15. Intellectual Property
Trusys and its licensors retain all right, title, and interest in and to the Services, including all software, APIs, interfaces, methods, designs, workflows, reports, templates, dashboards, trade names, trademarks, documentation, and related intellectual property, together with all improvements, modifications, and derivative works thereof.
Except for the limited rights expressly granted under these Terms, no rights are granted to you by implication, estoppel, or otherwise.
If you provide Trusys with feedback, suggestions, feature requests, or ideas, you grant Trusys a perpetual, irrevocable, worldwide, royalty-free right to use, modify, disclose, and incorporate that feedback without restriction or obligation.
16. Open Source Components
Certain components of the Services may include or be distributed with open-source software subject to applicable open-source license terms. To the extent required by such licenses, those licenses will apply to the relevant open-source components. Nothing in these Terms limits your rights under applicable open-source licenses.
17. Confidentiality
During your use of the Services, either party may disclose confidential or proprietary information to the other. Each party agrees to use the other party’s confidential information only as necessary to perform under these Terms and to protect such information using reasonable care.
This section does not apply to information that is or becomes public through no fault of the receiving party, was already lawfully known to the receiving party, is independently developed without use of the disclosing party’s confidential information, or is lawfully obtained from a third party without duty of confidentiality.
A receiving party may disclose confidential information if required by law, regulation, or court order, provided it uses reasonable efforts to give prior notice where legally permitted.
18. Customer Name and Logo Use
If you are a paying customer, you grant Trusys the right to use your name, logo, and general customer relationship status in Trusys marketing materials, website listings, presentations, case studies, and customer references, unless otherwise agreed in writing.
19. Security and Suspension
Trusys will use commercially reasonable efforts to maintain the security and availability of the Services, but does not guarantee uninterrupted or error-free operation.
Trusys may suspend, restrict, or terminate access to any part of the Services immediately, with or without notice, if Trusys reasonably believes:(a) your use violates these Terms or applicable law;(b) your use poses a security, legal, operational, or reputational risk;(c) you have failed to pay applicable fees when due;(d) suspension is necessary to prevent harm to Trusys, the Services, other users, or third parties; or(e) suspension is required for maintenance, updates, investigations, or legal compliance.
20. Beta and Preview Features
Trusys may make available beta, preview, experimental, early-access, or evaluation features (“Beta Features”). Beta Features may be incomplete, may contain errors, may be modified or discontinued at any time, and are provided “as is” and “as available” without any warranty, support commitment, service level, or guarantee of continued availability.
21. Professional Services
If Trusys provides onboarding, implementation, advisory, managed testing, training, consulting, or custom integration services, those services may be governed by a separate statement of work, order form, or written agreement. In the absence of a separate agreement, such services are provided subject to these Terms.
22. Term and Termination
These Terms begin when you first access or use the Services and continue until terminated.
You may stop using the Services at any time. If you have a paid subscription, cancellation will take effect at the end of the current billing period unless otherwise stated in your plan or enterprise agreement.
Trusys may terminate these Terms or your access to the Services at any time for material breach, misuse, legal risk, non-payment, prolonged inactivity, discontinuation of the Services, or other legitimate business, legal, or security reasons.
Upon termination or expiration:(a) your right to access and use the Services will cease;(b) you must stop using the Services;(c) any outstanding payment obligations survive; and(d) subject to Trusys’s then-current processes and your compliance with these Terms, you may request export of Customer Data for up to 30 days after termination, after which Trusys may delete or anonymize Customer Data unless retention is required by law or a written agreement.
23. Warranties Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, BETA FEATURES, DOCUMENTATION, REPORTS, OUTPUTS, ANALYSES, ALERTS, AND ALL RELATED MATERIALS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
TRUSYS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, SECURITY, RELIABILITY, AVAILABILITY, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
24. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRUSYS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
ANY LIABILITY TERMS, DAMAGE CAPS, INDEMNITY OBLIGATIONS, OR SPECIAL REMEDIES APPLICABLE TO ENTERPRISE CUSTOMERS SHALL BE GOVERNED EXCLUSIVELY BY THE APPLICABLE ORDER FORM, MASTER SERVICES AGREEMENT, OR OTHER WRITTEN ENTERPRISE CONTRACT, WHERE ONE EXISTS.
NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
25. Indemnity
You agree to defend, indemnify, and hold harmless Trusys, its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, losses, liabilities, damages, judgments, costs, and expenses (including reasonable legal fees) arising out of or related to:(a) your use of the Services;(b) your Customer Data;(c) your violation of these Terms;(d) your violation of law or third-party rights;(e) your testing, scanning, or assessment of systems or applications without proper authorization; or(f) your products, models, outputs, services, or decisions.
26. Export Controls and Sanctions
You may not use, export, re-export, import, transfer, or make available the Services in violation of applicable export control, sanctions, or trade laws and regulations. You represent and warrant that you are not located in, organized under the laws of, ordinarily resident in, or subject to restrictions under any jurisdiction where such use would be prohibited by applicable law.
27. Governing Law and Dispute Resolution
These Terms are governed by the laws of India, without regard to conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be finally resolved by arbitration in Bengaluru, Karnataka, in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time. The arbitration shall be conducted by a sole arbitrator appointed in accordance with applicable law. The language of arbitration shall be English.
Notwithstanding the foregoing, either party may seek interim, injunctive, or equitable relief from courts of competent jurisdiction in Bengaluru, Karnataka to protect its rights pending arbitration or to prevent unauthorized use, disclosure, infringement, or misappropriation.
28. Changes to the Services or Terms
Trusys may modify these Terms from time to time. If we make material changes, we will post the updated Terms on our website or otherwise notify you through reasonable means. Unless otherwise stated, changes become effective upon posting.
Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the revised Terms.
Trusys may also modify, suspend, discontinue, or replace any part of the Services at any time, with or without notice.
29. Communications
You consent to receive communications from Trusys electronically, including by email, in-product notice, or postings on the Services, regarding your account, billing, legal notices, updates, and operational matters.
30. General
These Terms, together with any applicable order form, statement of work, enterprise agreement, privacy policy, data processing addendum, or other incorporated documents, constitute the entire agreement between you and Trusys regarding the Services, except where a separate written agreement expressly governs.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
You may not assign or transfer these Terms without Trusys’s prior written consent. Trusys may assign these Terms to an affiliate or in connection with a merger, acquisition, restructuring, or sale of assets.
No failure or delay by Trusys in exercising any right under these Terms will operate as a waiver.

7. License to Use the Services

13. AI-Specific Disclosures
Trusys provides tools to evaluate, monitor, secure, govern, and operate AI systems, but Trusys does not guarantee that any AI system, application, model, workflow, output, dataset, or deployment will be error-free, secure, unbiased, compliant, lawful, available, accurate, or fit for any particular purpose.
You remain solely responsible for your AI systems, configurations, prompts, models, policies, datasets, outputs, deployments, decisions, actions, end-user communications, and compliance obligations. You are also responsible for reviewing and validating any outputs, recommendations, reports, assessments, or alerts generated by the Services before relying on them in business, legal, regulatory, operational, or customer-facing contexts.
The Services do not constitute legal advice, regulatory certification, security certification, audit opinion, or professional compliance advice.
14. Third-Party Services and Integrations
The Services may interoperate with third-party products, models, APIs, cloud providers, observability tools, CI/CD systems, repositories, communication services, storage services, voice providers, or other external services (“Third-Party Services”). Trusys and its licensors retain all right, title, and interest in and to the Services, including all software, APIs, interfaces, methods, designs, workflows, reports, templates, dashboards, trade names, trademarks, documentation, and related intellectual property, together with all improvements, modifications, and derivative works thereof.
Except for the limited rights expressly granted under these Terms, no rights are granted to you by implication, estoppel, or otherwise.
If you provide Trusys with feedback, suggestions, feature requests, or ideas, you grant Trusys a perpetual, irrevocable, worldwide, royalty-free right to use, modify, disclose, and incorporate that feedback without restriction or obligation.
16. Open Source Components
Certain components of the Services may include or be distributed with open-source software subject to applicable open-source license terms. To the extent required by such licenses, those licenses will apply to the relevant open-source components. Nothing in these Terms limits your rights under applicable open-source licenses.
17. Confidentiality
During your use of the Services, either party may disclose confidential or proprietary information to the other. Each party agrees to use the other party’s confidential information only as necessary to perform under these Terms and to protect such information using reasonable care.
This section does not apply to information that is or becomes public through no fault of the receiving party, was already lawfully known to the receiving party, is independently developed without use of the disclosing party’s confidential information, or is lawfully obtained from a third party without duty of confidentiality.
A receiving party may disclose confidential information if required by law, regulation, or court order, provided it uses reasonable efforts to give prior notice where legally permitted.
18. Customer Name and Logo Use
If you are a paying customer, you grant Trusys the right to use your name, logo, and general customer relationship status in Trusys marketing materials, website listings, presentations, case studies, and customer references, unless otherwise agreed in writing.
19. Security and Suspension
Trusys will use commercially reasonable efforts to maintain the security and availability of the Services, but does not guarantee uninterrupted or error-free operation.
Trusys may suspend, restrict, or terminate access to any part of the Services immediately, with or without notice, if Trusys reasonably believes:(a) your use violates these Terms or applicable law;(b) your use poses a security, legal, operational, or reputational risk;(c) you have failed to pay applicable fees when due;(d) suspension is necessary to prevent harm to Trusys, the Services, other users, or third parties; or(e) suspension is required for maintenance, updates, investigations, or legal compliance.
20. Beta and Preview Features
Trusys may make available beta, preview, experimental, early-access, or evaluation features (“Beta Features”). Beta Features may be incomplete, may contain errors, may be modified or discontinued at any time, and are provided “as is” and “as available” without any warranty, support commitment, service level, or guarantee of continued availability.
21. Professional Services
If Trusys provides onboarding, implementation, advisory, managed testing, training, consulting, or custom integration services, those services may be governed by a separate statement of work, order form, or written agreement. In the absence of a separate agreement, such services are provided subject to these Terms.
22. Term and Termination
These Terms begin when you first access or use the Services and continue until terminated.
You may stop using the Services at any time. If you have a paid subscription, cancellation will take effect at the end of the current billing period unless otherwise stated in your plan or enterprise agreement.
Trusys may terminate these Terms or your access to the Services at any time for material breach, misuse, legal risk, non-payment, prolonged inactivity, discontinuation of the Services, or other legitimate business, legal, or security reasons.
Upon termination or expiration:(a) your right to access and use the Services will cease;(b) you must stop using the Services;(c) any outstanding payment obligations survive; and(d) subject to Trusys’s then-current processes and your compliance with these Terms, you may request export of Customer Data for up to 30 days after termination, after which Trusys may delete or anonymize Customer Data unless retention is required by law or a written agreement.
23. Warranties Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, BETA FEATURES, DOCUMENTATION, REPORTS, OUTPUTS, ANALYSES, ALERTS, AND ALL RELATED MATERIALS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
TRUSYS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, SECURITY, RELIABILITY, AVAILABILITY, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
24. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRUSYS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
ANY LIABILITY TERMS, DAMAGE CAPS, INDEMNITY OBLIGATIONS, OR SPECIAL REMEDIES APPLICABLE TO ENTERPRISE CUSTOMERS SHALL BE GOVERNED EXCLUSIVELY BY THE APPLICABLE ORDER FORM, MASTER SERVICES AGREEMENT, OR OTHER WRITTEN ENTERPRISE CONTRACT, WHERE ONE EXISTS.
NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
25. Indemnity
You agree to defend, indemnify, and hold harmless Trusys, its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, losses, liabilities, damages, judgments, costs, and expenses (including reasonable legal fees) arising out of or related to:(a) your use of the Services;(b) your Customer Data;(c) your violation of these Terms;(d) your violation of law or third-party rights;(e) your testing, scanning, or assessment of systems or applications without proper authorization; or(f) your products, models, outputs, services, or decisions.
26. Export Controls and Sanctions
You may not use, export, re-export, import, transfer, or make available the Services in violation of applicable export control, sanctions, or trade laws and regulations. You represent and warrant that you are not located in, organized under the laws of, ordinarily resident in, or subject to restrictions under any jurisdiction where such use would be prohibited by applicable law.
27. Governing Law and Dispute Resolution
These Terms are governed by the laws of India, without regard to conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be finally resolved by arbitration in Bengaluru, Karnataka, in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time. The arbitration shall be conducted by a sole arbitrator appointed in accordance with applicable law. The language of arbitration shall be English.
Notwithstanding the foregoing, either party may seek interim, injunctive, or equitable relief from courts of competent jurisdiction in Bengaluru, Karnataka to protect its rights pending arbitration or to prevent unauthorized use, disclosure, infringement, or misappropriation.
28. Changes to the Services or Terms
Trusys may modify these Terms from time to time. If we make material changes, we will post the updated Terms on our website or otherwise notify you through reasonable means. Unless otherwise stated, changes become effective upon posting.
Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the revised Terms.
Trusys may also modify, suspend, discontinue, or replace any part of the Services at any time, with or without notice.
29. Communications
You consent to receive communications from Trusys electronically, including by email, in-product notice, or postings on the Services, regarding your account, billing, legal notices, updates, and operational matters.
30. General
These Terms, together with any applicable order form, statement of work, enterprise agreement, privacy policy, data processing addendum, or other incorporated documents, constitute the entire agreement between you and Trusys regarding the Services, except where a separate written agreement expressly governs.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
You may not assign or transfer these Terms without Trusys’s prior written consent. Trusys may assign these Terms to an affiliate or in connection with a merger, acquisition, restructuring, or sale of assets.
No failure or delay by Trusys in exercising any right under these Terms will operate as a waiver.
